VABRIUM END USER LICENCE AGREEMENT

READ THIS BEFORE INSTALLING. By installing or using Vabrium ("the
Software") you agree to this Agreement. If you do not agree, do not
install the Software, and delete any copy you have.
This Agreement is between you and Vabrium LLC, a North Carolina
limited liability company, of 4030 Wake Forest Rd Ste 349, Raleigh,
NC 27609, United States ("we", "us").
1. WHAT YOU MAY DO
We grant you a personal, non-exclusive, non-transferable, revocable
licence to install and use the Software on computers you own or control,
for your own content creation, whether personal or commercial.
Yes: you may keep and monetise the videos you make with Vabrium. See
section 4.
2. WHAT YOU MAY NOT DO
You may not:
(a) sell, rent, sublicense, or redistribute the Software itself;
(b) remove or alter any notice, credit, or licence file we ship;
(c) use the Software to break the law, or to infringe anyone's
copyright, trademark, or privacy;
(d) attempt to defeat the licensing, subscription, or usage-metering
systems, or use the Software with credentials you are not
entitled to;
(e) reverse engineer, decompile, or disassemble the Software, EXCEPT
to the extent section 3 permits it or applicable law grants you
that right regardless of contract.
3. OPEN-SOURCE COMPONENTS — THIS MATTERS
Vabrium includes third-party open-source software. Those components are
licensed to you under THEIR OWN LICENCES, not this Agreement, and where
those licences give you rights that section 2 appears to restrict, THEIR
LICENCES WIN. Nothing in this Agreement limits any right you have under
an open-source licence.
The complete list ships with the Software as THIRD-PARTY-NOTICES.txt in
the installation folder, alongside a licenses\ folder containing the
full licence texts.
Two specific rights worth naming:
* Vabrium's user interface uses Qt for Python (PySide6) under the GNU
Lesser General Public Licence v3. You may modify that component and
relink the Software against your modified version, and you may
reverse engineer the Software to the extent necessary to debug those
modifications.
* Vabrium bundles a build of FFmpeg licensed under the GNU General
Public Licence v3. You may obtain the complete corresponding source
code for that exact build. THIRD-PARTY-NOTICES.txt identifies the
build and carries a written offer; requests go to
[email protected].
Trained model weights distributed with the Software are covered by the
notices file, which records their provenance and any licence conditions.
4. YOUR CONTENT IS YOURS
You own the video, audio, images, and projects you create with Vabrium.
We claim no ownership of them and no licence to them.
The Software processes your footage on your own computer. We do not
upload your gameplay footage, recordings, exports, or project files to
our servers. The Privacy Policy describes the limited information that
does leave your machine, and why.
5. OUR RIGHTS
We and our licensors own the Software, its name, its look, and the model
weights we trained. This Agreement licences the Software to you; it does
not sell it to you. All rights not expressly granted are reserved.
6. AI-ASSISTED FEATURES
Vabrium uses machine learning to detect events, suggest edits, generate
captions, separate subjects from backgrounds, and hold conversations.
These features are probabilistic. They will sometimes be wrong: they may
miss an elimination, mis-transcribe speech, cut in the wrong place, or
state something incorrect.
Review the output before you publish it. You are responsible for what
you publish. Do not rely on Vabrium's assistant for factual, legal,
medical, or financial guidance.
7. BETA SOFTWARE
While Vabrium is offered as a beta, it is pre-release software provided
for evaluation. It may contain defects, may change substantially, and
may lose data. Keep your own backups of source footage and finished
work. We may modify, suspend, or discontinue the beta, or any feature in
it, at any time.
8. UPDATES
The Software checks for updates and can download and apply them. You can
decline an update; some features may then stop working, and we may stop
supporting older versions. Updates are covered by this Agreement unless
they come with their own terms.
9. NO WARRANTY
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS"
AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED,
INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY,
FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT
WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT IT
WILL NOT LOSE DATA.
Some jurisdictions do not allow the exclusion of implied warranties, so
parts of this section may not apply to you. You may have other rights
that vary by jurisdiction.
10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR
FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR LOST FOOTAGE, ARISING
OUT OF OR RELATING TO THE SOFTWARE.
OUR TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF
(a) THE AMOUNT YOU PAID US FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE
THE CLAIM, OR (b) FIFTY US DOLLARS.
Nothing here excludes liability that cannot lawfully be excluded,
including liability for fraud, or for death or personal injury caused by
negligence.
11. TERMINATION
This licence ends automatically if you materially breach it. You may end
it at any time by uninstalling the Software and deleting your copies.
Sections 3, 4, 5, 9, 10, and 12 survive termination.
12. GOVERNING LAW
This Agreement is governed by the laws of the State of North Carolina,
United States, without regard to its conflict-of-laws rules. The state
and federal courts located in North Carolina have exclusive
jurisdiction, except that either party may seek injunctive relief in
any court of competent jurisdiction.
If you are a consumer resident in the European Union or the United
Kingdom, this section does not deprive you of the protection of the
mandatory consumer-protection laws of your country of residence, and you
may bring proceedings in your local courts.
13. EXPORT
You may not use or export the Software in violation of United States
export laws, or use it in a country or by a person subject to United
States sanctions.
14. GENERAL
If a provision is held unenforceable, the rest remains in force. Our
failure to enforce a provision is not a waiver of it. This Agreement,
together with the Terms of Service and the Privacy Policy, is the entire
agreement between us about the Software. We may update this Agreement;
material changes will be notified in the app or by email, and continued
use after the change takes effect means you accept it.
