VABRIUM TERMS OF SERVICE Version 1.0 Effective: 22 August 2026 These Terms govern the Vabrium account, subscription, and online services. The software itself is licensed separately under the Vabrium End User Licence Agreement (EULA.txt). Where the two overlap, the EULA governs the software and these Terms govern the service. The service is operated by Vabrium LLC, a North Carolina limited liability company, of 4030 Wake Forest Rd Ste 349, Raleigh, NC 27609, United States. 1. WHO MAY USE VABRIUM You must be at least 13 years old. If you are under 18, you may use Vabrium only with the involvement of a parent or legal guardian who agrees to these Terms on your behalf. If you are in the European Union or the United Kingdom and under 16, a parent or guardian must give consent before you create an account. See the Privacy Policy. We do not knowingly provide the service to anyone under 13. If we learn that we have collected personal information from a child under 13, we will delete it. You may not use Vabrium if you are barred from doing so under applicable law or United States sanctions. 2. ACCOUNTS Some features require an account. You are responsible for your credentials and for activity under your account. Tell us promptly at [email protected] if you believe your account has been compromised. Provide accurate information. One person, one account. Do not share an account, and do not use another person's account. 3. BETA SERVICE Vabrium is currently offered as a free beta. * The beta is provided for evaluation. There is no service-level commitment, no uptime guarantee, and no guarantee that any feature will reach general release in its current form. * We may change, suspend, or end the beta, or any part of it, at any time. * Beta data may be reset. Keep your own backups of source footage and finished work. * No payment is required during the free beta. Section 5 sets out the billing terms that will apply when paid plans launch. They take effect only when you choose a paid plan. 4. ACCEPTABLE USE Do not: * use Vabrium to create or distribute unlawful content, content that infringes someone else's rights, or content that sexualises minors; * upload or process footage you do not have the right to use; * attempt to bypass subscription checks, usage limits, or licensing; * probe, scan, overload, or interfere with our servers, or attempt to access accounts or data that are not yours; * resell or provide the service to third parties as your own. We may suspend or terminate an account that breaches this section. 5. PAID PLANS (EFFECTIVE WHEN PAID PLANS LAUNCH) The following applies once paid plans are available and you subscribe. During the free beta, nothing in this section takes money from you. 5.1 Plans. Vabrium offers a free tier and one or more paid ("Pro") plans. The free tier includes limited monthly allowances for certain features; the current allowances are shown in the app. Pro unlocks additional features and raises or removes those allowances. 5.2 Billing. Paid plans are billed in advance on a recurring basis (monthly or annually, as you select). Prices are shown before you purchase and are exclusive of taxes unless stated otherwise. 5.3 Payment processing. Payments are handled by Stripe, Inc. You provide your card details to Stripe, not to us; we never receive or store your full card number. Stripe's terms and privacy policy apply to that processing. 5.4 Auto-renewal. Subscriptions renew automatically at the end of each billing period at the then-current price, until cancelled. We will give reasonable notice before any price increase applies to you. 5.5 Cancellation. You may cancel at any time from the billing portal in the app. Cancellation stops the next renewal. Your Pro access continues until the end of the period you have already paid for. We do not pro-rate partial periods except where the law requires it. 5.6 Refunds. Except where the law requires otherwise, fees are non-refundable. If you believe you were charged in error, contact [email protected] within 30 days and we will review it in good faith. 5.7 EU/UK right of withdrawal. If you are a consumer in the EU or UK, you normally have 14 days to withdraw from a distance contract. By starting a subscription and getting immediate access, you request immediate performance and acknowledge that you lose that right once the service has been fully provided within the period. Where the right still applies, you may exercise it by emailing [email protected]. 5.8 Failed payment. If a payment fails, we may retry it and may suspend Pro features until payment succeeds. 5.9 Trials. Where a trial is offered, it may be limited to one per person or per account. Attempting to obtain repeated trials by creating multiple accounts is a breach of section 4. 6. YOUR CONTENT You own the footage, audio, images, and projects you create with Vabrium, and you keep all rights in them. We claim no ownership and no licence. Vabrium processes your footage on your own computer. We do not upload your gameplay footage, exports, or project files to our servers. If you choose to send us a support ticket with diagnostics attached, you decide what that contains and the app shows you the exact payload first. You are responsible for having the rights to the material you process, including music, and for complying with the terms of any platform you publish to. 7. AI FEATURES Vabrium's detection, editing suggestions, captions, background removal, and assistant are machine-learning features. They produce probabilistic output and will sometimes be wrong. Review what they produce before you publish it. Do not treat the assistant as a source of factual, legal, medical, or financial advice. We do not train our models on your footage or your projects. 8. THIRD-PARTY SERVICES Vabrium can interoperate with software and services we do not control, including OBS Studio and, optionally, a locally installed language-model runtime. Your use of those is governed by their own terms. We are not responsible for them. Vabrium is not affiliated with, endorsed by, or sponsored by Epic Games, Inc. "Fortnite" is a trademark of Epic Games, Inc., used only to describe what Vabrium is designed to work with. We are not affiliated with any platform you publish to. 9. SUPPORT Support for the beta is provided on a best-effort basis through the in-app support form and [email protected]. There is no guaranteed response time. 10. SUSPENSION AND TERMINATION You may stop using Vabrium and delete your account at any time; email [email protected] to have your account data erased. We may suspend or terminate your access if you breach these Terms, if required by law, or if continuing would expose us or other users to risk. Where it is reasonable and lawful to do so, we will tell you why and give you a chance to put it right. If we terminate your paid subscription other than for breach, we will refund the unused portion of the period you have paid for. 11. DISCLAIMERS AND LIABILITY The service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, and our liability is limited exactly as set out in sections 9 and 10 of the EULA, which are incorporated here by reference. 12. CHANGES We may update these Terms. If a change is material, we will notify you in the app or by email before it takes effect. Continued use after that means you accept the change. If you do not accept it, stop using the service and, if you have a paid plan, cancel it. 13. GOVERNING LAW AND DISPUTES These Terms are governed by the laws of the State of North Carolina, United States, without regard to its conflict-of-laws rules. The state and federal courts in North Carolina have exclusive jurisdiction, except that either party may seek injunctive relief anywhere. If you are a consumer in the European Union or the United Kingdom, this does not deprive you of the mandatory consumer protections of your country of residence, and you may bring proceedings in your local courts.
